The Greenery, a Hilton Head Island-based landscaping company, has merged with Mazzanna's Lawn & Landscaping of Beaufort.
The Greenery purchased the assets of Mazzanna's -- which generated about $3 million in annual gross revenue -- and absorbed its 45 employees, all of whom were offered positions with the larger company.
Financial terms of the merger were not disclosed.
Gary Mazzanna, who had owned his Beaufort operation since 1994, said the deal was a product of ongoing negotiations.
Never miss a local story.
"This didn't just happen overnight; it's been about a two-year process," he said. "It took time to learn each other's strengths and weaknesses, to be integrated philosophically."
Mazzanna added he felt it was imperative to act in the best interests of his workers.
"The Greenery could offer things to my employees, in terms of benefit packages, that we just couldn't afford to," he said.
Mazzanna will continue to work with a branch manager to oversee daily landscape operations in northern Beaufort County.
The Greenery -- which was founded in 1973 and has branch offices on Hilton Head and in Beaufort, Hardeeville, Charleston and Savannah -- will expand its commercial-maintenance operations in Beaufort as a result of the acquisition, according to its CEO, Lee Edwards.
"Gary's got a lot of really good employees," added Edwards, who also is a Hilton Head Town Council member. "By merging, he gives them more of a career than a job, as we offer them more ability to advance."
Edwards characterized Mazzanna's as a "small- to medium-sized landscape company that's a perfect fit for us."
Edwards said his company is employee-owned -- workers receive shares of stock as part of an annual compensation package -- and he is excited to welcome a new group of employee owners.
In a letter to Mazzanna's clients, Edwards wrote, "We are ... certain that we will continue the same quality of service that Mazzanna's Lawn and Landscape has practiced and will continue to improve and enhance the quality of your landscape."
